These Terms of Use (“Terms”) govern your access to and use of cbglretail.com (the “Site”), operated by CBGL, Inc. (“CBGL,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. The Site
The Site is an informational, business-to-business website describing CBGL’s distribution and brand-management services and the French independent beauty brands we represent. It is not a retail store: no consumer purchases or payments are processed on the Site. Product information, availability, and pricing references are for general information only and may change without notice.
2. Permitted use
We grant you a limited, non-exclusive, revocable permission to view and use the Site for lawful business and informational purposes. You agree not to:
- use the Site in any way that violates applicable law or these Terms;
- copy, reproduce, scrape, or redistribute Site content except as expressly permitted;
- attempt to gain unauthorized access to the Site or its underlying systems, or interfere with its operation;
- use any automated means to harvest email addresses or other data from the Site; or
- misrepresent your identity or affiliation when contacting us.
3. Intellectual property
The Site and its content — including text, layout, graphics, and the CBGL name and logo — are owned by CBGL or its licensors and are protected by intellectual-property laws. Brand names, logos, product names, and imagery belonging to the maisons we represent are the property of their respective owners and are used with permission for the purpose of describing our distribution relationship. Nothing on the Site grants you any license to use those marks.
4. Third-party links and brands
The Site links to third-party websites, including our brands’ own stores and marketplace listings (such as Faire). Those sites are operated by others and governed by their own terms and policies. We do not control and are not responsible for their content, products, or practices, and a link does not imply our endorsement.
5. Submissions
When you contact us or submit an enquiry or application through the Site, you represent that the information you provide is accurate and that you are entitled to share it. Submitting a form does not create a contract, partnership, or confidential relationship between us, and we are under no obligation to respond to or act on any submission. Please do not send confidential or proprietary information you do not wish us to receive.
6. Disclaimers
The Site and its content are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any information on it is complete or current.
7. Limitation of liability
To the fullest extent permitted by law, CBGL and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of (or inability to use) the Site. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (USD $100).
8. Indemnification
You agree to indemnify and hold harmless CBGL from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site or your breach of these Terms.
9. Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in New York, New York will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site.
10. Changes
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above, and your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
